Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you and Bingfa (“Bingfa”, “we”, “us”) and govern your access to and use of the Bingfaapplication, websites, and related services (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. Who may use the Service
The Service is intended for business use by people who are at least 18 years old and able to form a binding contract. If you use the Service on behalf of a business or other organisation, you represent that you are authorised to accept these Terms on its behalf.
2. Your account
You are responsible for keeping your login credentials secure and for all activity under your account. Notify us promptly at [contact email — to be added before launch] if you suspect unauthorised use. You must provide accurate information and keep it up to date.
3. The Service
Bingfa helps small businesses plan and produce marketing content. Features may include AI-assisted strategy and content generation across channels (social, blog, email, landing pages), scheduling and automated publishing to connected social accounts, and export to WordPress. Features and limits depend on your plan and may change over time.
AI-generated output. Content produced with AI assistance may be inaccurate, incomplete, or unsuitable for your purpose. You are responsible for reviewing, editing, and approving all content before you publish or rely on it. We do not guarantee any particular result, ranking, reach, or business outcome.
4. Plans, billing & cancellation
- Paid plans are billed in advance on a recurring basis (monthly or yearly) in Australian Dollars (AUD) through our payment processor, Stripe. Prices are shown at checkout.
- Your subscription renews automatically at the end of each billing period unless you cancel before the period ends. You can cancel at any time from your account billing page.
- On cancellation, your paid access continues until the end of the current paid period, after which your account reverts to the free plan. Connected social accounts may be disconnected when a paid subscription ends (see section 6).
- Except where required by law (including the Australian Consumer Law), payments are non-refundable and we do not provide refunds or credits for partial periods or unused features.
- We may change prices or plan features. We will give reasonable notice of changes that affect you, and changes take effect on your next renewal.
5. Acceptable use
You agree not to use the Service to:
- break any law, or infringe anyone’s intellectual property, privacy, or other rights;
- generate or publish content that is unlawful, deceptive, defamatory, hateful, or that violates the rules of any third-party platform you publish to;
- send spam or unsolicited messages, or misrepresent yourself or your business;
- attempt to disrupt, reverse engineer, scrape at scale, or gain unauthorised access to the Service or its underlying systems; or
- resell or provide the Service to third parties except as expressly permitted by your plan.
6. Connected accounts & third-party services
The Service relies on third parties to function, including Stripe (payments), Zernio (social media publishing), Resend (email delivery), Cloudflare (content storage and delivery), and AI model providers. When you connect a social media account, you authorise us and Zernio to publish content and access account information on your behalf, subject to that platform’s terms. You remain responsible for complying with the terms and policies of each platform you connect or publish to.
We are not responsible for third-party services, their availability, or their acts and omissions. If your paid subscription ends or your payment fails, we may disconnect your connected social accounts to stop ongoing third-party charges.
7. Your content & intellectual property
You retain all rights to the brand information, materials, and content you provide or generate through the Service (“Your Content”). You grant us a limited, non-exclusive licence to host, process, and transmit Your Content solely to operate and provide the Service to you, including sending it to the third-party providers described above.
You represent that you have the rights necessary to use Your Content and to grant this licence. We and our licensors retain all rights in the Service itself, including its software, design, and trademarks. You may not use our branding without permission.
8. Disclaimers
The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties not expressly stated in these Terms. Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy you have under the Australian Consumer Law or other law that cannot be lawfully excluded.
9. Limitation of liability
To the maximum extent permitted by law, Bingfa will not be liable for any indirect, incidental, special, or consequential loss, or for lost profits, revenue, data, or goodwill. Where our liability cannot be excluded but can be limited, and to the extent permitted by law, our total liability arising out of or relating to the Service is limited to the amount you paid us for the Service in the three (3) months before the event giving rise to the liability.
10. Suspension & termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. You may delete your account by contacting us at [contact email — to be added before launch].
11. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Your continued use of the Service after changes take effect means you accept the updated Terms.
12. Governing law
These Terms are governed by the laws of South Australia, Australia, and you submit to the non-exclusive jurisdiction of the courts of that place.
